Agreement to these terms

These Terms of Service ("Terms") govern your use of vantierbusiness.com and services provided by Vantier Business Solutions ("Vantier," "we," "us," or "our"). By using the website, booking a consultation, purchasing a service, or accepting a proposal, you agree to these Terms. If a signed proposal, statement of work, or other written agreement conflicts with these Terms, that agreement controls for the conflicting provision.

1. Services and project scope

Vantier provides business strategy, branding, website and landing-page development, marketing, CRM setup, automation, AI-enabled systems, lead generation, booking and payment integrations, and related services. The specific scope, deliverables, schedule, fees, and revision limits for a project will be stated in the applicable proposal, order, checkout page, or written agreement.

Estimated timelines depend on timely client feedback, approvals, access, and content. Changes outside the agreed scope may require a revised timeline and additional fees, which we will communicate before performing the added work.

2. Fees, payments, and renewals

You agree to pay the fees and taxes shown in your proposal, invoice, order, or checkout page. Unless otherwise stated, setup fees are due before work begins. Recurring services are billed in advance on the billing cycle shown at checkout and may renew automatically until canceled according to the applicable agreement.

Third-party software subscriptions, advertising spend, domain registration, premium assets, and other outside costs are separate unless expressly included. Overdue amounts may result in paused work or service suspension after reasonable notice.

Cancellations and refunds

Because our work reserves time and may involve custom strategy or production, amounts already paid are non-refundable once the related work has begun, except where required by law or stated otherwise in writing. You may cancel recurring services by contacting us before the next billing date. Cancellation stops future renewal charges but does not refund a current billing period or unpaid completed work.

3. Client responsibilities

You agree to provide accurate information, timely feedback, necessary content, and authorized access to accounts and systems. You represent that you have the rights and permissions needed for any materials, data, trademarks, images, testimonials, or instructions you provide.

You are responsible for reviewing and approving deliverables, maintaining secure credentials, complying with laws applicable to your business, and making final business, legal, financial, privacy, advertising, and marketing decisions.

4. Intellectual property

Each party retains ownership of materials it owned before the engagement. After full payment, you receive the ownership or license rights to final client-specific deliverables described in the applicable agreement. Vantier retains ownership of its pre-existing tools, methods, templates, processes, know-how, reusable code, and general design elements, while granting any license reasonably necessary to use the final deliverables.

Drafts, unused concepts, working files, and internal tools remain Vantier property unless otherwise agreed in writing. We may display non-confidential completed work in our portfolio and marketing unless you ask us in writing not to do so.

5. Third-party platforms and services

Projects may use third-party services such as hosting providers, domain registrars, payment processors, scheduling tools, CRM platforms, advertising networks, email services, or AI providers. Their own terms, pricing, availability, and privacy practices apply. You are responsible for third-party charges associated with your accounts unless expressly included in our agreement.

We are not responsible for changes, outages, suspensions, data loss, or policy decisions caused by third-party services, but we will make reasonable efforts to help address issues within the agreed scope.

6. Confidentiality

Each party will use reasonable care to protect non-public business information received from the other and will use it only to perform or receive the services. This does not apply to information that is public through no breach, already known without restriction, independently developed, lawfully received from another source, or required to be disclosed by law.

7. Acceptable use

You may not use our website or services to violate law, infringe another person's rights, distribute malicious code, gain unauthorized access, send unlawful or deceptive communications, or interfere with systems or users.

8. Disclaimers and limitation of liability

We will perform services with reasonable professional care. However, business, marketing, advertising, ranking, revenue, lead volume, and automation outcomes depend on many factors outside our control, so we do not guarantee specific results.

To the fullest extent permitted by law, the website and any free information are provided "as is" and "as available." Vantier disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Vantier will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or business opportunities. Vantier's total liability arising from a service will not exceed the fees you paid to Vantier for that service during the six months before the event giving rise to the claim. These limits do not apply where applicable law does not permit them.

9. Indemnification

You agree to defend and indemnify Vantier from third-party claims, damages, or expenses arising from materials or instructions you provide, your unlawful use of deliverables, or your violation of these Terms or another person's rights. This obligation applies only to the extent the claim was not caused by Vantier's own breach or misconduct.

10. Suspension and termination

Either party may end services as allowed by the applicable agreement. We may suspend or terminate services for material breach, nonpayment, unlawful activity, security risk, or conduct that makes continued work unreasonable, normally after notice and an opportunity to cure when practical. Upon termination, all earned fees and approved outside costs become due.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing a formal claim, each party agrees to make a good-faith effort to resolve the dispute directly. Any legal action must be brought in a state or federal court with jurisdiction in Delaware, unless applicable law requires otherwise.

12. General terms

Neither party is liable for delays caused by events beyond reasonable control. If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. Electronic communications and signatures may be used. These Terms, together with any applicable proposal or written agreement, form the complete agreement regarding the covered services.

13. Changes to these terms

We may update these Terms from time to time. The updated version will be posted here with a revised effective date. Changes apply prospectively unless otherwise required by law.
